The short version. The audit is free. The Sales Desk is billed monthly and you can cancel any month. You are the seller, so you are responsible for having consent to contact your leads. AI can make mistakes, and we can't guarantee signed jobs. Our liability is capped, and disputes go to arbitration, not class actions. This summary is for convenience. The full Terms below are what bind us both.
1. The agreement
These Terms are between you and Laksh Jain, doing business as HansHive ("HansHive", "we", "us"). They apply when you use hanshive.ai or book a Lead Leak Audit. They also apply when your company buys the HansHive Sales Desk (the "Service"), in which case your company is the "Customer".
The Service starts when you sign or accept an order, proposal or invoice from us that states the price and start date (an "Order"), or when you pay our first invoice, whichever comes first.
Our website and Service are for businesses, not consumers. By using them you confirm that you are at least 18 and that you have authority to bind your company. If you don't agree to these Terms, don't use them.
2. Using this website
You may use this website to learn about us and book an audit. Don't misuse it, attack it, overload it, or copy it to build a competing offer. The figures we cite come from the third-party sources named beside them, and we don't guarantee they apply to your business. The chat shown on our website is an example using a fictional company. Pricing examples and calculators are illustrations based on the numbers shown or entered, and are not predictions. Nothing on this website is legal, financial or insurance advice.
3. The Lead Leak Audit
The audit is free and carries no obligation to buy anything. It may include calling your main business number after hours, asking a real question through your website form, and timing the replies. We do not record those calls, pretend to need a roof, or book fake inspections. Tell us to stop and we will.
Audit findings and cost figures are estimates from a small test and from numbers you give us. They are not a formal audit, an accounting review, or a guarantee of what you would earn.
4. The Sales Desk
The Service is a set of AI agents that can answer calls and web leads, book inspections into your calendar, send confirmations and reminders, follow up unsigned estimates, re-engage people who gave consent, ask for reviews and referrals, and report results. Your Order states what is included and when each part starts. We may improve or change the Service as long as we don't materially reduce what you bought. If we do, you may cancel and get a pro-rated refund of any prepaid fees for the unused period.
The assistant says it is an AI and hands conversations to your team when someone asks for a person or when your setup calls for it. The Service is not an emergency service. It can flag something like an active leak to your team, but it doesn't contact emergency services and doesn't replace your own on-call process. Your team stays responsible for answering what is handed to it.
5. Founding roofer offer
- The offer is limited to the first three roofing companies we accept. We decide who is accepted.
- The price is $997 a month with no setup fee, locked for the first 6 months after your start date.
- After the 6 months, we may change the price on 30 days' written notice. You can cancel before the new price applies.
- In return, you agree to give us honest feedback when we ask. If the Service works for you, you agree to discuss a case study. We publish nothing that names you without your written approval.
- Founding roofers start with speed-to-lead, inbound calls, show-up and estimate follow-up. Reactivation, reviews and the dashboard follow in month two.
Standard pricing after the founding spots is $2,500 setup plus $3,500 a month, unless your Order says otherwise.
6. Fees and payment
- Billing. Fees are in US dollars and billed monthly in advance. Each invoice is due within 7 days, by the payment method shown on it.
- What the fee covers. Your fee covers normal use by one roofing business, including ordinary phone and text costs. If your use goes far beyond that, for example during a major storm or across extra locations, we tell you first. We never charge extra without your written okay. If we can't agree on a price, we may limit the use above the normal level.
- Your own costs. You pay for your own lead sources, CRM, calendar and other software, unless your Order says otherwise.
- Taxes. Fees exclude sales, use and similar taxes, which you pay if they apply, other than taxes on our income. Pay invoices in full. If the law requires you to withhold anything, tell us first so that we can give you the right tax form.
- Late payment. After 7 days' notice, we may pause the Service until you pay. Overdue amounts may carry interest at 1.5% a month or the highest rate the law allows, whichever is lower.
- Refunds. Fees for a month that has started are not refundable, unless these Terms or the law say otherwise.
- Billing disputes. Tell us within 30 days of an invoice if you think it's wrong, and pay the part you don't dispute. Please talk to us before filing a chargeback.
7. Cancellation and termination
- You can cancel any month. Email laksh@hanshive.ai before your next billing date. The Service then ends at the end of the month you have paid for. There is no cancellation fee.
- We can cancel on 30 days' written notice and refund any prepaid fees for time after the end date.
- Either of us can end the contract at once if the other seriously breaks these Terms and doesn't fix the problem within 10 days of written notice.
- We can suspend the Service at once if we reasonably believe that it's being used unlawfully, that a carrier or regulator requires it, or that continuing would cause harm or legal risk. We tell you as soon as we can and restore the Service when the problem is fixed.
- When the contract ends, the agents stop, and you must update your lead forms, phone routing and anything else pointing to the Service. You can ask for an export of your data within 30 days. We delete it as our Privacy Policy says, and we keep consent and opt-out records for the time stated there. You still owe any fees for time already used.
8. Consent and your duties
This section matters most. You are the seller, and every call and text the Service makes for you is made on your behalf and on your instructions. You are responsible for following the laws that apply to your marketing and sales, including the Telephone Consumer Protection Act, the Telemarketing Sales Rule, CAN-SPAM, Do Not Call rules, and state telemarketing, texting, call-recording, contractor and insurance laws.
You promise that:
- Consent. Before you give us anyone's contact details or ask us to contact them, you have the consent the law requires for that kind of call or text, including prior express written consent where required, and for AI or artificial voice calls. You can show us proof of it within 5 days if asked. Your lead sources' terms must allow this use too.
- No bought or scraped lists. You won't give us contact lists that you bought, rented or scraped, or any list without consent.
- Do Not Call. You will tell us about your internal do-not-call list and keep it current. For any reactivation list you give us, you are responsible for checking it against the national and state registries, unless your Order says that we will do it.
- Opt-outs and complaints. You will tell us within 1 business day about any opt-out, complaint or legal notice you receive about contact made through the Service.
- Lead forms. We can suggest consent wording, but you are responsible for what's on your forms and for getting your own legal advice about it. We are not your lawyers.
- Registration. You will give true details for business texting registration (A2P 10DLC) and pay any carrier fees your Order assigns to you. Delays or refusals by carriers are outside our control.
- Accurate information. Your license, insurance, service area, pricing, financing, warranty and other business information is true, current and lawful, and you will review and approve what the assistant is set up to say. You will tell us promptly when anything changes.
- Insurance claims. The assistant doesn't give insurance, legal or financial advice, doesn't promise that a claim will be covered, and doesn't act as a public adjuster. You won't ask it to, and you won't ask it to offer to waive deductibles or do anything else that is unlawful in your state.
- Your team. You will keep reps available for the inspections booked and for the conversations handed over, and you will give us the access we need to your calendar, CRM and phone setup.
9. Acceptable use
You must not use the Service to break any law; to contact people without the required consent; to harass, mislead or threaten anyone; to pretend the assistant is a human; to collect sensitive data such as Social Security numbers, card details or health information; or to spoof caller ID. You also must not try to copy, reverse engineer, resell or overload the Service, get around its limits or safeguards, extract its prompts, or use its output to build a competing product.
10. Text message terms
Texts sent through the Service are for the roofing company named in the message, and may include replies, appointment confirmations and reminders, and follow-ups. Message frequency varies. Message and data rates may apply. Reply STOP to opt out, and HELP for help. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for how mobile information is handled.
11. AI and results
The Service uses AI. AI can misunderstand people, say something wrong, or miss something, however carefully it's set up. You are responsible for reviewing what the assistant is set up to say, and for checking anything important before you rely on it.
We don't guarantee any number of leads, inspections, signed jobs, revenue or savings. Results depend on your leads, your team, your prices and your market. Reports depend on the data in your CRM and other systems, and "signed jobs" is counted from that data.
When we say a lead is answered in under 60 seconds or every lead is answered, we mean that is how the Service is built to work for every lead that reaches it. Carriers, lead sources, outages and spam filters can delay or block a message or call, and they are outside our control. If the Service repeatedly falls short and we don't fix it within 10 days of your written notice, you can cancel at once and get a pro-rated refund for the unused part of that month. That is your main remedy for a service shortfall.
12. Availability and other providers
We work to keep the Service running but don't promise it will be uninterrupted or error-free, and we offer no uptime guarantee unless your Order states one. The Service relies on other providers, including phone carriers, AI, CRM, calendar and hosting providers. We are not responsible for their acts, outages, filtering or policy changes. If you connect a third-party tool, your agreement with that provider applies to it.
Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as storms, power or internet failures, carrier or provider outages, attacks, government acts, or new laws. This does not excuse paying fees for Service you received.
13. Data
- Your data stays yours. That includes your customer and lead information, and call and message content ("Customer Data"). You give us permission to use it only to provide, secure and support the Service for you, and as the law requires.
- Service provider. For personal information in Customer Data, we act as your service provider. We won't sell or share it, use or keep it for anything other than providing the Service, or combine it with data from other sources, except as privacy law allows a service provider to do. We tell you if we can no longer meet these duties, and you may take reasonable steps to stop and fix any unauthorized use.
- Providers. We may use the kinds of providers listed in our Privacy Policy, and we hold them to duties that protect your data. We stay responsible for their handling of it as part of the Service.
- Security and breaches. We use reasonable safeguards. If we confirm a breach affecting your Customer Data, we tell you without undue delay, and within 72 hours where we can.
- Requests from people. We help you respond to people's privacy requests about Customer Data.
- De-identified data. We may use de-identified, aggregated data that can't reasonably identify you or any person to measure and improve the Service. We won't try to re-identify it.
- Your duties. You are responsible for having the right to give us Customer Data, and for your own privacy notices, including telling people about call recording and AI where the law requires it.
14. Ownership
We own the Service, including its software, prompts, workflows, reports and designs. We give you a non-exclusive, non-transferable right to use it for your own business while your contract runs. You own your brand and Customer Data. If you give us feedback, we can use it freely without paying you. We won't use your name or logo publicly without your written approval, and you won't use ours without ours.
15. Confidentiality
Each of us will keep the other's non-public business information confidential, use it only for this contract, and protect it with reasonable care. This doesn't cover information that is public through no fault of the recipient, was already known, was independently developed, or was rightly received from someone else. It also doesn't stop a disclosure the law requires, as long as the other side gets notice where that's allowed. These duties last 3 years after the contract ends, and for as long as a trade secret stays one. Your price and our methods are confidential.
16. Disclaimers
Each of us confirms we have the right to enter into this contract. Apart from what these Terms expressly say, and to the fullest extent the law allows, the website, audit and Service are provided "as is" and "as available". We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and accuracy. We do not give legal, compliance, insurance or financial advice, and our statements about how the Service is designed to meet rules are not a promise that your use of it is lawful.
17. Limit of liability
To the fullest extent the law allows:
- Neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, jobs, leads, goodwill or data, even if warned they were possible.
- Our total liability for all claims about the website, audit, Service or these Terms is limited to the fees you paid us for the Service in the 3 months before the event that caused the claim. If you have paid us nothing, as with the website or a free audit, it is limited to $100.
- These limits don't apply to your duty to pay fees, your promises in section 8, your breach of section 9, your indemnity in section 18, or anything that the law doesn't allow to be limited, such as liability for fraud or willful misconduct.
These limits are a basic part of the price and would apply even if a remedy fails of its essential purpose.
18. Indemnity
You will defend and cover us, including our reasonable legal fees, against third-party claims, fines and government actions arising from: contact made on your behalf or your instructions, including claims under the TCPA and similar laws; missing or invalid consent; your Customer Data or business information; your lead forms; your breach of these Terms; or the work and services your company provides.
We will defend you against a third-party claim that our software, used as these Terms allow, infringes that party's intellectual property rights, and cover amounts finally awarded, subject to section 17. We may change the software, get you the right to keep using it, or end the Service and refund prepaid fees for the unused period. This doesn't cover claims caused by your data, your instructions, or your combining the Service with other things.
The side asking for protection must tell the other promptly, let it control the defense, and help reasonably. No one may settle in a way that admits fault for the other side without its written consent.
19. Disputes and governing law
- Talk first. Before starting any formal claim, email the other side a description of the problem. We both try in good faith to solve it within 30 days.
- Arbitration. Any dispute that isn't solved will be decided by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, before one arbitrator, in English, with hearings held by video unless the arbitrator decides otherwise. Judgment on the award can be entered in any court with jurisdiction.
- No class actions. Claims may be brought only individually, not as a class, collective or representative action, and no arbitrator may combine claims without both sides' written consent.
- Exceptions. Either of us may bring an individual claim in small claims court, or ask a court for an urgent order to protect confidential information or intellectual property. Collecting unpaid fees may also go to court.
- Time limit. Any claim must be started within 1 year after the facts behind it arose, unless the law doesn't allow that limit.
- Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules, and the Federal Arbitration Act governs the arbitration clause. The UN Convention on Contracts for the International Sale of Goods doesn't apply.
20. General terms
- Changes to these Terms. We may update these Terms by posting a new version and changing the date above. For Customers, we give at least 30 days' notice by email of any material change. If you don't agree, you can cancel before it takes effect. Changes never alter a price lock already in your Order.
- Order of priority. If documents conflict, your signed Order comes first, then these Terms, then our Privacy Policy.
- Entire agreement. These Terms and your Order are our whole agreement on this subject and replace earlier emails, calls, website statements and proposals. Neither of us relies on anything not written in them. Terms on your purchase orders or forms don't apply.
- Assignment. You can't transfer this contract without our written consent. We may transfer it to a company we form or to a successor to the business, and we tell you if we do. The new owner is then bound by it.
- Relationship. We are independent contractors. Neither of us is the other's partner, employee or legal representative, except that the Service sends messages and makes calls on your behalf as these Terms describe. No third party has rights under these Terms.
- Notices. We send notices to the email on your account or Order. You send notices to laksh@hanshive.ai. A notice counts as received the next business day. Keep your contact email current.
- Electronic signature. Orders and notices may be signed and sent electronically.
- If part of these Terms fails. The rest stays in force, and the failed part is applied as closely as the law allows. If the class action waiver in section 19 is found unenforceable for a claim, that claim goes to court and not to arbitration.
- No waiver. Not enforcing a term once doesn't give up the right to enforce it later.
- What continues after the contract ends. Sections 6 (for amounts owed), 7 (end of contract), 8 (for past contact), 11, 13 to 19, and this section continue.
- Sanctions and export. You confirm that you aren't barred from receiving these services under US sanctions or export laws.
